Inner Dispatch

These Terms of Service ("Terms") govern your access to and use of Inner Dispatch ("Service", "we", "our", "us").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Inner Dispatch is a voice journaling platform that allows users to:

• Record short voice entries (5 seconds each)
• Store recordings in a personal archive
• Review past recordings
• Export data in standard formats

We may introduce new features, modify existing features, or discontinue the Service at any time with reasonable notice.

2. Eligibility

You must be at least:

• 16 years old within the European Union
• 13 years old in other jurisdictions
• Or the minimum legal age in your country

By using the Service, you represent that you meet these requirements.

3. Accounts and Authentication

3.1 Account Creation

Access requires authentication through Google OAuth. By signing in, you authorize us to access your name, email address, and Google account identifier.

3.2 Account Security

You are responsible for maintaining access to your Google account, keeping your login credentials secure, and all activity that occurs under your account.

3.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose security risks. You may delete your account at any time via Settings → Delete Account Permanently.

4. Recording Rules and Limitations

4.1 Recording Limits

• One recording per day (based on your timezone)
• 5 seconds maximum per recording
• Attempting to circumvent these limits may result in account suspension

4.2 Overwriting

If you create a new recording on a day that already has a recording, the previous recording will be replaced.

5. Freeze Policy (Free Tier)

5.1 What Happens After 7 Days

Recordings created on the free tier will become frozen (unplayable) 7 days after creation. "Frozen" means the recording still exists in your account, you cannot play it back, it is not deleted, and the date remains visible in your calendar.

5.2 Unfreezing Recordings

To unfreeze recordings, you must subscribe to Premium ($4.99/month). Once subscribed, all frozen recordings become playable immediately and new recordings remain playable indefinitely. If you cancel your subscription, recordings will freeze again 7 days after their creation date.

5.3 No Automatic Deletion

We do not automatically delete frozen recordings. Frozen recordings remain in your account unless you manually delete them.

6. Subscription Terms (Premium)

6.1 Plan Details

Premium costs $4.99 per month (USD) and includes unlimited playback of all recordings with no freeze after 7 days.

6.2 Automatic Renewal

Subscriptions automatically renew each month until canceled. You will be charged on the same day each month.

6.3 Cancellation

You may cancel at any time via Settings → Billing → Cancel or via the Stripe Customer Portal (link provided in Settings). Cancellation takes effect at the end of the current billing period. After cancellation, you retain access until the period ends and recordings older than 7 days will freeze again. Refunds are subject to Section 7.4.

6.4 Price Changes

We may change subscription pricing with 30 days' notice. Existing subscribers will be notified via email before price changes take effect.

7. Payments and Refunds

7.1 Payment Processing

All payments are processed securely by Stripe, Inc. We do not store credit card information.

7.2 Billing Cycle

Subscriptions are billed monthly on the date you first subscribed.

7.3 Failed Payments

If a payment fails, we will retry up to 3 times. Your subscription will be canceled if all retries fail and recordings will freeze 7 days after creation.

7.4 Refund Policy

All subscription fees are non-refundable except where required by law.

EU/EEA consumers: If you are located in the EU or EEA, you have the right to withdraw from your purchase within 14 days of the initial subscription date for a full refund. To exercise this right, contact support@innerdispatch.com within 14 days of your purchase.

All other users: We do not offer refunds for partial months, unused periods, or accidental renewals, except at our sole discretion.

Refunds, where approved, are processed via Stripe and may take 5–10 business days to appear on your statement.

8. User Content

8.1 Ownership

You retain full ownership of your voice recordings and any content you create.

8.2 License to Us

By using the Service, you grant us a limited, non-exclusive, revocable license to:

• Store your recordings on our servers (via Supabase)
• Transmit recordings to OpenAI, Inc. for transcription (Whisper API) and emotion analysis. OpenAI processes this data as our sub-processor under a signed Data Processing Addendum and does not use it to train their models, in accordance with OpenAI's API Terms of Service.
• Display recordings, transcriptions, and emotion analysis results back to you in the interface

This license is solely for operating the Service and ends when you delete your content or account.

8.3 We Do Not Claim Ownership

We do not claim any ownership or intellectual property rights over your recordings.

We do not use your recordings to train AI models. Your recordings are transmitted to OpenAI for transcription and emotion analysis purposes. OpenAI's handling of this data is governed by their API usage policies, under which API inputs are not used for model training.

9. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload content that is illegal, harmful, defamatory, obscene, or violates third-party rights
• Record other people without their consent
• Impersonate others or provide false information
• Attempt to reverse engineer, decompile, or hack the Service
• Use automated tools to create accounts or recordings
• Interfere with or disrupt the Service or servers
• Share your account credentials with others
• Use the Service to store or transmit malware, viruses, or malicious code

Violation of these rules may result in immediate account termination without refund.

10. Content Moderation

While we do not actively monitor user content, we reserve the right to remove content that violates these Terms, suspend or terminate accounts that violate these Terms, and cooperate with law enforcement if legally required. We are not liable for user-generated content.

11. Third-Party Services

The Service uses the following third-party services:

• Google OAuth — authentication
• Supabase — storage and database
• OpenAI — transcription (Whisper API) and emotion analysis (processes voice data as our data sub-processor under a signed Data Processing Addendum, including Standard Contractual Clauses for transfers to the United States)
• Stripe — payment processing

Use of these services is subject to their respective terms and privacy policies. We are not responsible for the actions, policies, or outages of third-party services.

12. Intellectual Property

12.1 Our Property

All intellectual property related to the Service (excluding user content) is owned by Inner Dispatch, including the Inner Dispatch name, logo, and branding, website design and interface, source code and algorithms, and documentation and materials.

12.2 Restrictions

You may not copy, modify, or create derivative works of the Service, use our trademarks without permission, or frame or mirror the Service on other websites.

13. Data Portability and Account Deletion

13.1 Data Export

You can download all your data at any time via Settings → Data & Privacy → Download All Data. Your export is provided as a ZIP archive containing:

• audio/ — all voice recordings (.webm files)
• recordings.json — transcriptions, emotion analysis results, and metadata (date, duration, timestamps)
• profile.json — account information

13.2 Account Deletion

You can permanently delete your account via Settings → Data & Privacy → Delete Account Permanently.

When you delete your account, all recordings, transcriptions, and account information are permanently deleted immediately. Active subscriptions are canceled upon account deletion. EU consumers retain their statutory withdrawal rights under Section 7.4.

This action is irreversible.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and accuracy, reliability, or availability of the Service.

We do not guarantee uninterrupted or error-free operation, that data will not be lost or corrupted, security against unauthorized access, or transcription accuracy. Use the Service at your own risk.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Inner Dispatch and its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, loss of profits, revenue, data, or use, business interruption, or personal injury or property damage arising from or related to your use of the Service.

Total liability (if any) shall not exceed the amount you paid us in the 12 months prior to the claim, or $100, whichever is less.

Exceptions: Some jurisdictions do not allow limitations on implied warranties or liability. If applicable, the above limitations may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless Inner Dispatch from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, your violation of any law or third-party rights, or content you upload to the Service.

17. Dispute Resolution

17.1 Informal Resolution

Before filing a claim, you agree to contact us at support@innerdispatch.com to attempt informal resolution.

17.2 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

17.3 Jurisdiction

For non-EU users: Any disputes shall be resolved in the state or federal courts located in Delaware.

For EU consumers: Mandatory consumer protection laws of your country of residence apply. You may bring claims in your local courts.

17.4 No Class Actions

You agree to resolve disputes individually, not as part of a class action or representative proceeding. Note: this provision does not apply to EU consumers where prohibited by local law.

18. GDPR and EU Consumer Rights

If you are located in the European Union or EEA, the following provisions apply.

18.1 Right to Withdraw

You have the right to withdraw from your purchase within 14 days of the initial subscription date for a full refund. To exercise this right, contact support@innerdispatch.com within 14 days.

18.2 Mandatory Consumer Protection

Mandatory consumer protection provisions under EU law apply and cannot be waived by these Terms.

18.3 Complaints

You may file complaints with your local consumer protection authority or data protection authority (DPA).

18.4 Data Subject Rights

Under the GDPR, you have the right to:

• Access the personal data we hold about you
• Rectify inaccurate personal data
• Erase your personal data ("right to be forgotten")
• Port your data in a machine-readable format
• Object to or restrict processing of your personal data
• Lodge a complaint with your local data protection authority

18.5 Sub-processors

We use the following sub-processors to operate the Service:

Transfers to sub-processors in the United States are governed by Standard Contractual Clauses (SCC) or equivalent safeguards as required by GDPR Chapter V.

18.6 Legal Basis for Processing

We process your personal data on the following legal bases:

• Contract performance (Art. 6(1)(b) GDPR): to provide the Service
• Legitimate interests (Art. 6(1)(f) GDPR): security and fraud prevention
• Legal obligation (Art. 6(1)(c) GDPR): where required by law

19. Service Availability

We strive for high availability but do not guarantee the Service will be available 24/7, no downtime or interruptions, or compatibility with all devices or browsers. We may suspend the Service for maintenance, security incidents, or legal compliance.

20. Changes to Terms

We may modify these Terms at any time. When we make material changes, we will update the "Last updated" date and notify you via email if you have an active account. Continued use after changes constitutes acceptance. If you do not agree to the revised Terms, you must stop using the Service and delete your account.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Inner Dispatch.

22. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

23. No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

24. Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms to any successor or affiliate without notice.
